Free Membership Agreement For: Shop Cost Free Corporation, it’s limitless communities portal Alias Space dot com, Shop Cost Free dot com, its Registration Sites, Certified Sites, Open Source Projects and Affiliate Sites entitling membership and marketing associate status to its properly registered members.

Use of our Shop Cost Free Corporation internet communities, sites and their contents, including but not limited to individual consumer enrolment information collected, data, text, materials, information, software, graphics, proprietary information of Shop Cost Free Corporation and/or its affiliates contained or provided therein or providing access to or collected collectively known as “web site” and the services offered by Shop Cost Free Corporation (“The Company”), hereinafter is subject to the terms and conditions of this Free Membership Agreement (“Agreement”) by enrolling and registering with Shop Cost Free Corporation on our registration page and using the Shop Cost Free Corporation web site in any manner. Marketing Associates
All eligible Members are entitled status as Marketing Associates (Associates) and upon sponsoring the minimum number of new members as required, will earn a commission income on eligible direct purchases made by eligible members they enroll and be credited, subject to the terms and conditions enumerated in this Agreement, a percentage of the net purchases as determined by Shop Cost Free Corporation, made by such eligible members at the ShopCostFree.com shopping merchandise mall and/or at one of the merchants affiliated with ShopCostFree.com, an affiliated merchant, (“Affiliate”) or ( “Affiliated Merchant”) after a ShopCostFree.com member having accessed the Affiliate directly through the ShopCostFree.com site for each purchase transaction. The commission percentage will be enumerated and posted to the Marketing Associate member each following month through the ShopCostFree.com web site as it relates to each commission eligible net purchase. The net purchase is defined as the total amount paid to the merchant minus tax, gift wrapping, shipping, promotional credits, returns, cancellations, and transaction fees or as the Affiliated Merchant defines on their respective web site and as is enumerated in their respective Affiliate Membership and/or Operating Agreement document, whichever is less. All Affiliated Merchant Membership and/or Operating Agreements as they relate to their affiliate or partner programs with Shop Cost Free Corporation and which reside on the Affiliated Merchant’s respective Web sites are hereby incorporated into this agreement. Once you have enrolled with us and been issued your Marketing Associate ID Code you can immediately start enrolling consumers into our program. Marketing Associates may find eligible consumers to enroll anywhere so long as they are of legal age or are enrolled by their legal guardian. At this time there are no restrictions on locality, Marketing Associates are open to enroll consumers either in their local area, or anywhere they choose. Marketing Associate may receive an additional commission amount in addition to the Marketing Associates direct commission income from an eligible member purchase and such amount if granted shall be tabulated to the Marketing Associates member Future uAward Fund Account monthly to be made available to Marketing Associate at a Future Date determined by Shop Cost Free Corporation.

Associates can earn commissions from two income streams. Associates will earn commissions from two income streams. A participation commission from any income earned by our shopping site and a specific commission from eligible purchases made by members you directly enroll. This commission will be earned from all eligible purchases made by eligible members you directly enrolled from all LIFETIME eligible purchases they make on our shopping sites and/or from our affiliates. All payments due to Associates shall be tabulated on a maximum 90 day cycle after the commission is earned as determined by Shop Cost Free Corporation. Direct Commissions shall be payable a maximum of 90 days in arrears or thereabout by method of choice of Shop Cost Free Corporation after a minimum of $150.00 is due. All commission income paid or tabulated to Marketing Associates will remain subject to any refunds, returns or Shop Cost Free Corporation adjustments. You can enroll as many new members as you choose and your potential income is only limited by your enrollment effort and the combined purchases made by members you enroll.

Payment to Marketing Associate shall be tabulated on a 90 day cycle after the commission is earned and purchase date. Commissions shall be posted and accumulated posted commission due $500.00 and greater shall be paid out monthly 90 days in arrears or thereabout by method of choice of Shop Cost Free Corporation. Post accumulated commissions less that that amount shall continue to accumulate and be paid in the month that posted accumulated commissions reach that minimum amount. In any event a marketing associates commission account will be cleared once each year at year end, paid out the following January. All commission income paid or tabulated to Marketing Associates will remain subject to any refunds, returns or Shop Cost Free Corporation determined adjustments. Marketing Associate can enroll unlimited new members. Marketing Associates are separated in performance categories determined by their enrolled member purchases. Categories are used to help determine Member Rank Factor. Categories will have tiered internal voting rights as well as status benefits at conventions all to be announced.

Marketing Associate Income status minimum requirements: Commission rates and schedules and minimum requirement updates will be posted here on our Project Details section on the Commissions page.

There is no fee to become a Certified Marketing Associate and when consumers enroll as a initial Marketing Associate (the initial registration), it to is also free. Upon enrolling as a Marketing Associate you are issued a Marketing Associate ref_ID Code composed of a series of numbers and/or letters. Your ID is referenced to every consumer you directly enroll.

Members earn commissions from two commission income streams:

(a) A commission share from the company Combined Commission Fund which will hold any accumulated commission income earned by the company and our shopping sites that can not be allocated to a specific member transaction, member or member account and any other income the company determines to share with it’s members from various company income sources. An internal company member rank factor method will determine each members commission income share which will be paid out as a yearly bonus. Member marketing performance category status level will be utilized to help determine Member Rank Factor.

(b) A commission earned from eligible purchases made by members you directly enroll. This commission will be earned from all LIFETIME eligible premium subscriptions, contributions or purchases made by eligible members you directly enroll and from all LIFETIME eligible purchases they make on or through our shopping sites and/or from our affiliates. All payments due to Associates shall be tabulated on a maximum 90 day cycle after the commission is earned as determined by Shop Cost Free Corporation. Direct Commissions shall be payable a maximum of 90 days in arrears or thereabout by method of choice of Shop Cost Free Corporation after a minimum of $150.00 is due. All commission income paid or tabulated to Marketing Associates will remain subject to any refunds, returns or Shop Cost Free Corporation adjustments. Marketing Affiliate Enrollment Procedures:

1) As a Marketing Affiliate you may only register new member’s through our site INVITE FUNCTION. Log in to our site and use our sites INVITE FUNCTION to send invite emails that contain your imbedded ref_ID :

2) Use the Invite Function on our site to send an Invite E-mail to the prospective new member. It is important to maintain this procedure if you are actively sponsoring new members for future income. Categories will have tiered internal rights as well as status benefits at conventions all to be announced. Category status will be used to help determine Member Rank Factor. This internal factor is used to determine a members bonus commission share to be paid from the Combined Commission Fund each year. Future uAward Fund

A Members Future Fund Account Number shall be issued when members Future Fund account is activated and shall provide member access to the members tabulated Cost Free™ transactions. The future fund is not a bank account or security but is the members tabulation account that tabulates and records eligible Cost Free™ transactions of the member and provides method for the return to the member of the members tabulated Cost Free™ transaction as a monetized future loyalty reward after the Cost Free™ transaction future return date. All organization future fund accounts are grouped in total yearly and secured by bonds and/or securities to provide for the financial security and stability of the future fund. The tabulated amounts are monetized on a time line solely determined by the Shop Cost Free Corporation and returned to respective members as a loyalty reward and privilege after the established future date.

Agreement by reference.

In addition to eligible purchases made directly from the ShopCostFree.com shopping site, eligible cost free purchases also made through ShopCostFree.com Affiliated Merchants will be deemed an “Eligible Purchase” and be commissionable if and only if all of the following criteria are satisfied: “Cookies”, both first and third party (if applicable), must be enabled on the eligible members browser making the purchase. All potential Eligible Purchases must begin by clicking on the Affiliated Merchant’s link that appears on the ShopCostFree.com Web site and being successfully connected to the Affiliated Merchant’s Web site based upon that click. It is mandatory for tracking commissions on eligible sales that all ShopCostFree.com members start and end each shopping trip at the ShopCostFree.com website. ShopCostFree.com may, at all times, route your request for a merchant site through specific links, in order to assure that the sale can be tracked correctly. Any alteration of these links will invalidate the tracking eligibility of the sale and it will be deemed an Eligible Purchase. If they are returned, the initial purchase will be invalidated and not be deemed an Eligible Purchase. In case of return or cancellation of a previous eligible purchase, Shop Cost Free Corporation retains the right to and shall reverse the paid commission. All eligible purchase commissions paid to Marketing Associates are always subject to adjustments for returns, cancellations, and other events. Such adjustments can be applied to Marketing Associates at any time by Shop Cost Free Corporation at its sole discretion. Should you disagree with any adjustments made to your account, your sole remedy is to withdraw from the Program. . Furthermore, all eligible purchase commissions earned by Marketing Associates are subject to review. Necessary adjustments may be applied to Member accounts at any time by Shop Cost Free Corporation at its sole discretion. If you do not agree to adjustments made to your account, your only recourse will be to terminate your membership in the Program. Shop Cost Free Corporation reserves the right to terminate any account for abusive or fraudulent activity, or if the Marketing Associate is no longer reachable at the e-mail address provided and maintained as current on record. All Marketing Associates are required to maintain current and active e-mail address on file with ShopCostFree.com.

You will be subject to tax on all paid commission income and/or monetized and paid loyalty reward uAwards depending on the tax laws of federal, state, and local jurisdictions. In all instances, you will be solely responsible for any and all tax liability arising out of your Marketing Associate commission income or paid uAwards member loyalty rewards. You agree to hold the Affiliated Merchant harmless for any information disclosed to Shop Cost Free Corporation. You allow Shop Cost Free Corporation to collect and use non- personalized marketing information regarding visits and related to and purchases made from internet commerce sites.

Termination or Changes to the Program
Shop Cost Free Corporation does not intend to but reserves the right to terminate the Program at any time with or without notice; at its sole discretion for such things as Governmental Directive, Act Of God, War, Catastrophic Disaster, Nuclear Disaster, and Catastrophic event and/or Acts of Terror or any other reason at its sole discretion. Notification of Program termination will be sent to the email address you provide to ShopCostFree.com during the registration process. Shop Cost Free Corporation will not be responsible for failing to notify you of Program termination where such failure is caused by any reason outside the control of Shop Cost Free Corporation, including an error in your email program, an inaccurate email address, your failure to check for your email online, or your failure to inform ShopCostFree.com of a change in your email address.

Shop Cost Free Corporation may modify this Agreement from time to time, with or without notice, and your continued participation in the Program after such modification shall be deemed to be your acceptance of any such modification. It is your responsibility to check the Member Agreement page of the ShopCostFree.com Web site regularly to determine whether this Agreement has been modified. If you do not agree to any modification of this Agreement, you must immediately cease participation in the Program.

Termination of Membership
Membership in the Program is subject this agreement and to any additional Terms and Conditions decided upon by Shop Cost Free Corporation at its sole discretion. Any failure to comply with this agreement, any fraud or abuse relating to earning commission income or any misrepresentation of any information furnished to Shop Cost Free Corporation or its affiliates by you, or anyone acting on your behalf, may result in the termination of your membership in the Program, cancellation of your ShopCostFree.com account and/or forfeiture of your earned commissions. Shop Cost Free Corporation also reserves the right to close memberships that are inactive. We call this ‘inactive member status’. Inactivity is defined as no tracked visits originating at and/or from the ShopCostFree.com site within 90 days. Any Inactive Account is subject to have any commissions held till a determination of Marketing Associate status is made by Shop Cost Free Corporation.

Disputes/Errors
All questions or disputes regarding the Program, including without limitation, questions or disputes regarding eligibility for the Program, or the eligibility of commission income earned by a Marketing Associate must be submitted in writing within 90 days of the qualifying transaction, to ShopCostFree.com at: webmaster at ShopCostFree dot com. Any such disputes shall be resolved by Shop Cost Free Corporation at its sole discretion. All interpretations of Program Terms and Conditions shall be at the sole discretion of Shop Cost Free Corporation. In the event that an error is made by Shop Cost Free Corporation, your sole remedy shall be to withdraw from the program.

Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the United States and the Commonwealth of Virginia, without giving effect to any choice-of-law or conflict-of-law provision or rule (whether of the Commonwealth of Virginia or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the United States or the Commonwealth of Virginia. This Agreement shall be governed by the laws of the Commonwealth of Virginia and, where applicable, by federal law. You hereby consent to, and agree to bring any and all claims in, the exclusive jurisdiction of the state and federal courts located in Richmond, Virginia, U.S.A., for any action or proceeding arising under or relating to this Agreement, the Web Site, or the use of, or reliance on this Web Site, whether based in contract or tort.

Severability
To the maximum extent possible, each provision in this Agreement shall be interpreted in such manner as to be valid and enforceable under applicable law. If any provision of this Agreement is held to be invalid or unenforceable under applicable law, such provision shall be modified so as to be rendered valid and enforceable while implementing, to the maximum extent possible, the original intent of such provision. If such modification is not possible or allowed, then such provision shall be ineffective only to the extent of such unenforceability or invalidity without affecting the remainder of such provision or any other provisions in this Agreement. If any provision of this Agreement is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect. Shop Cost Free Corporation’s failure to insist upon or enforce strict performance of any provision of the Agreement shall not be construed as a waiver of any provision or right. Nothing in this Agreement shall be construed as creating or constituting a partnership, joint venture or agency relationship between Shop Cost Free Corporation and the Affiliated Merchants or between Shop Cost Free Corporation, its web sites, and any other of its Corporate Partners. Neither the Marketing Associates, Affiliated Merchants or any Corporate Partner shall have the ability to create any obligation on Shop Cost Free Corporation’ behalf. This Agreement constitutes the entire agreement between you and ShopCostFree.com with respect to the Program.

Internet Etiquette
Each Member is expected to execute the reasonable Internet etiquette, the accepted behavior and expectations of the Internet community. The Member will comply with the rules appropriate to any network to which the Company may provide access. The Member should not post, transmit, or permit Internet access to information the Member desires to keep confidential. The Member is not permitted to post any material that is illegal, libelous, and tortuous, indecently depicts children or is likely to result in retaliation against the Company by offended users. The Company reserves the right to refuse or terminate service at any time for violation of this section. This includes advertising services or sites via IRC or USENET in clear violation of the policies of the IRC channel or the USENET group.

Child Pornography
The Company will cooperate fully with any criminal investigation into a Member's violation of the Child Protection Act of 1984 concerning child pornography. Members are ultimately responsible for the actions of their clients over the Company’s network, and will be liable for illegal material posted by their clients.
According to the Child Protection Act, child pornography includes photographs, films, video or any other type of visual presentation that shows a person who is or is depicted as being under the age of eighteen years and is engaged in or is depicted as engaged in explicit sexual activity, or the dominant characteristic of which is the depiction, for a sexual purpose, of a sexual organ or the anal region of a person under the age of eighteen years or any written material or visual representation that advocates or counsels sexual activity with a person under the age of eighteen years.
Violations of the Child Protection Act should be reported to the U.S. Customs Agency at 1-800-BEALERT.

Copyright Infringement or Other Member Violations
The Company’s data center infrastructure including network, leased hardware, co-location services, and other hardware located in the facility may only be used for lawful purposes. Transmission, distribution, or storage of any information, data or material in violation of United States or state regulation or law, or by the common law, is prohibited. This includes, but is not limited to, material protected by copyright, trademark, trade secret, or other intellectual property rights; including creating, utilizing, distributing unauthorized copies of software, or the use of software or technologies utilized in the distribution of illegally copied materials. If a Member copies, distributes or installs such banned software in defiance of the license agreement, that Member is violating federal copyright law. The Company will cooperate with all law enforcement agencies in relation to alleged copyright infringement housed in our data centers. Repeated violations of our Copyright Infringement or Other Member Violations Policy could result in enforcement actions such as fines posted against a members marketing associate income and or future fund account and or permanent suspension of a member's account.

Entire Agreement
This Agreement shall constitute the entire agreement between you the member and ShopCostFree.com regarding the subject matter hereof and shall supersede any and all prior negotiations, representations, warranties, undertakings, or agreements, written or oral, between the parties regarding such subject matter and is subject to change solely at the discretion of Shop Cost Free Corporation management
